1. Scope
- This agreement is between you (the "Supplier") and AZET LLC ("AZET"). It applies only to orders paid through global checkout (Stripe) ("Global Orders") for one-time purchases of products you have opted in.
- Domestic orders remain under the PayDream Seller Terms with Dreamsi. Subscriptions are not available for Global Orders yet.
2. Purchase and resale
- When a Global Order is paid, AZET buys the ordered product (including a licence to use digital content) from you at the supply price for that option, and sells the same product to the buyer in its own name.
- AZET is the seller and merchant of record for every Global Order. AZET contracts with the buyer, receives the payment as its own revenue, issues receipts, calculates and remits taxes, and handles refunds and chargebacks. AZET does not hold or forward buyer funds for you.
- Your claim is a claim against AZET for the purchase price, not a share of the buyer's payment.
- You deliver the product (files, services or events) to the buyer on AZET's behalf, as described on the product page.
3. Supply price
- The supply price is a fixed amount in Korean won for each option, shown to you option by option when you sign. AZET's offer is the option's list price at signing × 92.5% − ₩500, rounded down to the won.
- The supply price stays the same until the agreement is renewed, even if you later change your list price. New options need your consent before global checkout opens for them.
- Taxes, payment fees and currency costs are borne by AZET and are not deducted from the supply price.
- AZET sets its resale price. Unless AZET says otherwise, it uses the won price you display on PayDream. You do not set or impose AZET's resale price.
- While a discount makes the price paid lower than the supply price, global checkout is closed for that option.
4. Payment of the purchase price
- AZET pays the supply price for each Global Order on the payout day that the Korean Seller Terms (Article 8) set for the order's payment date (Korea time).
- AZET pays from its own account in Korean won to a Korean bank account in your name (or your registered business name), by Wise. AZET bears transfer and currency costs. Payment is held until identity and account-holder checks are complete.
- Global Orders are calculated and paid separately from domestic payouts. Each payment comes with a purchase statement (orders, options, supply prices). AZET does not withhold tax unless the law requires it, in which case AZET tells you the amount and basis before payment. You report your own income.
5. Refunds and chargebacks
- AZET refunds buyers from its own funds under its buyer refund policy.
- Partial refunds, refunds after delivery started, and chargebacks that are not your fault are borne by AZET and are not recovered from you.
- If the buyer withdraws and is fully refunded before delivery starts (before first download or link opening, or before a service or event starts), no supply took place: that purchase is cancelled and no supply price is due. A change-of-mind refund after delivery started is borne by AZET even before payment, and the supply price is paid.
- Refunds or chargebacks caused by non-delivery, a product not as described, or infringement of third-party rights are a breach of your supply obligations. AZET may cancel the purchase (before payment) or claim its loss (refund, chargeback amount and dispute fee) from you (after payment). Before setting off any amount against a later payment, AZET tells you the amount and the reason.
6. Territory and products
- Global Orders are not offered to consumers in the European Union, the United Kingdom or the Republic of Korea until AZET is tax-registered there.
- Products prohibited by the PayDream listing rules or by Stripe's prohibited and restricted businesses list cannot be sold through global checkout.
7. Consent, termination and changes
- You sign by reviewing the supply price of each option and agreeing in your seller dashboard. The record (time, agreement version, supply prices) stays visible to you.
- You may terminate at any time at no cost. Global Orders paid before termination are delivered by you and paid for by AZET.
- AZET posts changes on this page and emails you 7 days before they apply (30 days for changes that are unfavourable to you). A lower supply price applies only with your new consent.
- Ohio law governs, without prejudice to mandatory laws of your country (including the Korean Act on the Regulation of Terms and Conditions). For Korean suppliers the Korean version governs.
